Deep Freeze II is a malicious program that uses an exploit in mIRC software in order to crash (freeze) it. Having your anti-virus or anti-spyware software find it on your computer means you are vulnerable to such attack.
Deep Freeze II description by Max:
Uses a bug in the Ident-Daemon of mIRC 5.3 and 5.31. If you open some connection to the Identport (113), this will freeze the mIRC-Instance.

1.Booting Computer From CD use Windows XP nstaller
2.After coming up with part to Enter Setup, Press Enter then F8 and await some moment
3.then selected R to repair Windows ( Repair Setup)
4.Hereinafter continue Install windows untill finish.
5.Now prepare the Deepfreeze v.6 of and double click
6.will appear “Uninstall Deepfreeze” windows and process uninstall till finish.
7.Done.

I have read the comments what you had tried,
ok you dont neet to format your c drive,
once you have followed the steps mentioned by "blueserver", surely you get the message access denied, but try again twice,
now if you look further in Processes, you need to kill one more Process, FrzState2k.exe , just wait for a while depending on your system speed, now you will see, that deep freeze icon is gone,
1-NOW, go in the C:\Program Files\Faronics folder and select and SHIFT Delete the whole folder,
2- open regedit - go to "HKEY_LOCAL_MACHINE\SOFTWARE\" and look for "Faronics Folder" hit Delete button from your keyboard, when asked click yes, job done
this should fix the problem,

login to admin account and go to HKEY_LOCAL_MACHINE\SOFTWARE\" delete the hit delete ....chk for process dfp.exe in task manager and end the process.....
go to hkey-local-machine -system-controlset1-services-deepFrz and delte the whole key...and like that go to control set 2 and 3 and delete the deepfrz entire folder........cheerz ..keep rocking
